The Corporate Transparency Act’s New Reporting Rule – Important Considerations for Attorneys and Their Clients
The Corporate Transparency Act (“CTA”) is a new federal law that requires almost all private business entities to report information about their beneficial owners. This new reporting requirement is effective January 1, 2024 for new businesses, and it will have a broad impact on a number of processes, including the new information companies will need to track and report, the language small businesses should include in shareholder and operating agreements, and the role of attorneys in the formation process. Minnesota’s New Law on Electronic Wills
Minnesota’s Uniform Electronic Wills Act was signed by Governor Tim Walz on March 30, 2023, and became effective on August 1, 2023. Hear directly from two members of the MSBA Probate and Trust Law Section Sub-Committee on Electronic Wills, each of whom provided valuable testimony on this topic to the Minnesota legislature during the 2023 session.

Changes to Minnesota’s Lobbying Laws
Effective January 1, 2024, Minnesota’s lobbying and public disclosure law will vastly increase the number of political jurisdictions that trigger disclosure requirements, resulting in a corresponding increase to the number of persons and entities deemed a “lobbyist” and a “principal.” Lawyers who interact with governmental units at any level in Minnesota—as well as their clients—should be aware of these new requirements.
