The Corporate Transparency Act (“CTA”) is a new federal law that requires almost all private business entities to report information about their beneficial owners. This new reporting requirement is effective January 1, 2024 for new businesses, and it will have a broad impact on a number of processes, including the new information companies will need to track and report, the language small businesses should include in shareholder and operating agreements, and the role of attorneys in the formation process.
