Software as a service or “SaaS” refers to software being made available via the Internet to users. A SaaS agreement is a contract between a SaaS supplier/provider and a SaaS customer/user which sets out the terms under which SaaS software may be accessed. SaaS agreements represent a shift away from traditional software licenses which may have involved up-front payments and time-consuming updating processes. Some common SaaS applications include Dropbox, Slack, and McAfee Protection software. SaaS can eliminate your need to maintain IT staff or oversight for certain software, giving you more time and flexibility to focus on other aspects of your legal practice, or giving your clients the ability to spend their time and energy on other areas of their business.
This Master SaaS Agreement includes common definitions, and other necessary provisions including ordering and scope, use of service, delivery and title, payment, security and confidential information, term and termination, indemnity, a service level agreement (SLA) and more!
The companion eFormbook provides the agreement in an unannotated electronic format that can be downloaded, giving users a head start at drafting.
