Minority shareholders can have two types of claims: direct and derivative. A shareholder can raise direct claims in litigation but derivative claims belong to the company. This seminar will explore the difference between direct and derivative claims. For those claims that are derivative, we will discuss the procedure for asserting derivative claims and the role of the Special Litigation Committee in examining and making a recommendation as to how to proceed with derivative claims.
