Despite the parties’ best intentions at the outset of what should be a mutually beneficial relationship, contracts can go bad. The question then becomes, what can we do at the drafting stage to prepare for the potential that a contractual relationship might sour? The answer lies in drafting agreements that are realistic and flexible and that contain clearly defined and appropriate termination clauses and remedy provisions.
