This session will discuss recent topics identified as part of successful (and sometimes unsuccessful, oops!) M&A Tax Due Diligence processes. We’ll spend time discussing recent developments and sharing ideas on federal and state tax topics including the impact of IRC 163(j) on deals, state PTE elections, structuring ideas, sales tax best practices, and tax due diligence pitfalls to avoid.

This session will focus on US and international immigration and global mobility issues, and their tax consequences and risks to both foreign nationals as well as to their employers/sponsors. We will cover fundamental immigration processes and statuses – from nomimmigrant visas and permanent residence to citizenship and revocation of citizenship – and the related tax reporting and payment issues impacted by these changes.

This session will provide an overview of the current state of state PTET regimes. Learn about updates to Minnesota’s PTET regime, other notable state PTET updates, and national trends, as well as the practical impact to clients. The goal of this session is to provide attendees with an update regarding recent developments in federal tax controversy. Those developments will touch on all three typical arenas for tax controversy: IRS audits, appeals, and litigation across a number of jurisdictions. Presenters will discuss the impacts of new IRS funding on controversy, including the IRS’s Global High Worth audit program.
