Join presenter Mark A. Sellner, CPA, JD, LLM (taxation) as he analyzes and discusses case studies highlighting tax planning opportunities, as well as tax traps for the unwary in advising business clients. This seminar will cover how the tax consequences of business transactions flow from the related legal relationships.

Essential Elements of Business Entity Taxation  (60 MINUTES)
The tax requirements for and the tax consequences of formation, operations, distributions and sales of business entities will be compared and contrasted. The taxation of sole proprietors, limited liability companies, partnerships, S corporations and C corporations will be covered.

S Corporation Case Studies, Part I  (30 MINUTES)
The pros and cons of structuring and operating S corporations with qualified S corporation subsidiaries (QSubs) will be discussed.

S Corporation Case Studies, Part II  (30 MINUTES)
The tax consequences of selling S corporation stock versus S corporation assets and the related transaction structures will be discussed.

LLC Case Studies, Part I  (30 MINUTES)
The drafting and related tax consequences of operating agreement provisions will be discussed.

LLC Case Studies, Part II  (30 MINUTES)
The tax consequences of selling LLC member interests versus LLC assets and the related transaction structures will be discussed.
