The intersection between warranties, limitations of liability, and indemnities is one of the most contentious, and critical, junctures one faces when negotiating contracts involving IP. These clauses set forth, among other things, which party will bear the burden of third-party claims. Parties may explore an array of options to reach agreement over the tension created, including sometimes deciding that the relationship is not worth crossing the risk threshold posed by the negotiation.
