This session will provide a general overview of relevant laws and regulations applicable to a broad range of healthcare transactions. Presenters will then move on to walk through a case study of a healthcare transaction, focusing on: the factors that lawyers and their clients must consider when negotiating, structuring, and closing a healthcare deal, including due diligence issues, fraud and abuse analysis, change of ownership considerations (e.g., with regard to state licensure, as well as Medicare and Medicaid), tax-exempt implications, valuation matters, and transaction structure (e.g., asset purchase vs. stock purchase or merger), as well as considerations when private equity is involved.

Focus on Privacy and Data Security within a Healthcare Transaction (60 MINUTES)
A detailed look at privacy and data security specifics within a healthcare transaction, including issue spotting and resolution related to: conflicts of laws; due diligence scope and protection of information; insurance; indemnification; cyber liability; compliance documentation and operations (e.g. with the HIPAA Security Rule); found inadequacies in HIPAA compliance; breach notification; and more.
