Real estate practitioners drafting retail leases must ensure that the lease accurately and clearly reflects the agreement, rights, and obligations of the parties. In order to effectively represent the client, at the start of the transaction an attorney must think “outside the box” and beyond the scope of the lease form, particularly if the form of lease was provided by the other party. To negotiate the lease, an attorney needs to understand the client’s business goals and objectives, market conditions, and the parties’ relative bargaining power, then concentrate on material issues and know when and how to compromise.
The Retail Lease – Strip Mall InFORMed Annotated Document is a comprehensive retail lease, covering the fundamental lease terms. In addition to the annotated lease agreement, it includes tenant estoppel and subordination, nondisturbance, and attornment agreements. The author’s annotations have highlighted issues for both parties, tenant and landlord, to be aware of when drafting.
The companion eFormbook provides the form(s) in an unannotated format that users can download and customize for their clients.
